Our Code of Conduct

Birthing the Magic Collaborative (BTM) champions holistic, culturally sensitive care for melanated mamas and mamas-to-be.

At BTM, we believe integrity and transparency are essential to our mission. Our free virtual education platform offers current, science-based information, empowering Black birthing people to advocate for supportive and inclusive care.

Our mission is to address factors contributing to poor maternal and infant health outcomes. To accomplish this, we have established this Code of Business Ethics and Conduct (Code) to guide BTM and set expectations for third parties with whom we work.

 Confidentiality

It is essential for donors, presenters, and those with whom we conduct business to know that BTM will handle information in a confidential manner. Therefore, individuals affiliated with BTM, including but is not limited to our board members, volunteers, employees and other individuals who have been provided access to BTM confidential information (BTM Personnel) are prohibited from disclosing, divulging, or granting access to such information without prior written permission of BTM management. At BTM, we exercise reasonable judgment and care to prevent unauthorized, inadvertent, or general disclosures of confidential information.

 Conflict of Interest

BTM Personnel have a responsibility to administer BTM's affairs with honesty, prudence, and due care, ensuring BTM’s best interests and those of third parties with whom we work are prioritized in decisions and actions. BTM personnel must refrain from deriving personal benefits from their positions or insider knowledge gained through BTM, which will avoid a conflict of interest.

 From time to time, conflicts of interest may arise between BTM Personnel in their relationships with third parties such as suppliers, lessors, donors, and recipients of grants. Such conflicts can arise in a variety of ways which may include owning stock in a company, being a decision maker, receiving a financial benefit, or utilizing BTM's resources for personal gain. In the event of an actual or potential conflict of interest, BTM Personnel or those with whom we are doing business should promptly disclose the conflict or potential conflict, as designated below. This allows for an assessment of the situation and the determination of any necessary actions to address and mitigate the conflict. The examples provided are not exhaustive and may arise in other situations.

BTM Personnel disclosures should be made to the chief executive or designated Governance Committee, while disclosures involving directors should be made to the designated Governance Committee. The board will determine the existence and materiality of conflicts as well as any necessary to mitigate or eliminate the conflict. 

BTM Assets

BTM relies on the goodwill and donations of third parties in order to conduct business. As such, BTM assets (e.g. computers, bank accounts, telephone, confidential information and brand) must be used to further the mission of BTM and in accordance with this Code. Further, BTM shall treat personally identifiable information (PII) and protected health information in a manner no less protective than it treats other types of confidential information and in accordance with BTM’s internal controls and applicable law. BTM Personnel are trained to seek necessary authorization, consents and permissions to disclose such confidential information to third parties or publicly.

Recordkeeping

We rely on the integrity and accuracy of our business and financial records both for internal decision-making and for the benefit of our donors, the communities we serve, and others to whom we report. Accurate and transparent recordkeeping protects our reputation, promotes organizational efficiency, and helps us meet legal and regulatory obligations.

All BTM Personnel, not only those working in finance and accounting roles, have a responsibility to ensure the integrity, accuracy, and effectiveness of our recordkeeping. Our best practices include accurate financial recording, following established internal controls, truth in our entries, and reviews.

Reporting

BTM Personnel and third parties with whom we do business are expected to report any violations of this Code by contacting BTM’s Executive Director via e-mail at Hello@BirthingMagic.org (please include Code of Conduct in the subject line).  BTM Governance Committee will be responsible for reviewing such e-mails and determining whether an investigation will occur. BTM will work to maintain confidentiality throughout any such review. We also strongly encourage the submission of any questions about the requirements set forth in this Code to the Executive Director or the Governance Committee.
